ExperiaHub Supplier Agreement

This Supplier Agreement (the “Agreement”) is a legally binding contract between [Your Company Legal Name, e.g., GlobalExperia Co., Ltd.], a company registered in Taiwan (“ExperiaHub,” “we,” “us,” or “our”), and you, the independent third-party activity and tour provider (“Supplier” or “you”). This Agreement governs your relationship with ExperiaHub as a Supplier on our platform (“Platform”).
By offering your activities and services on the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Our Role as a Facilitator
ExperiaHub operates as a marketplace that connects you with travelers (“Users”). We provide the technology and marketing platform to showcase your activities, facilitate bookings, and process payments. We are not a travel agent, direct provider, or reseller of your services. The responsibility for the provision, quality, safety, and legality of all activities lies solely with you.
2. Supplier Responsibilities
By using the Platform, you agree to:
- Provide Accurate Information: Ensure that all information about your activities, including descriptions, prices, availability, images, and cancellation policies, is accurate, up-to-date, and complete.
- Honor Bookings: Honor all bookings made by Users through the Platform at the agreed-upon price and time.
- Safety and Legality: Comply with all local, national, and international laws, regulations, and licensing requirements related to your business and the activities you offer. You are solely responsible for the safety of your Users during an activity.
- Maintain Availability: Keep your booking calendar up to date via the designated third-party booking system (e.g., Bokun) to avoid overbooking.
- Customer Service: Provide professional and timely communication to Users regarding their bookings.
3. Commission and Payments
- Commission: ExperiaHub charges a commission of 20% on the total price of each confirmed booking. This commission is our fee for providing you with a marketing channel, booking technology, and customer reach.
- Payment Processing: Bookings are processed securely through our payment gateway (e.g., Stripe). Our 20% commission will be automatically deducted from each booking.
- Payouts: Payouts for completed activities will be processed to your designated bank account on a [e.g., bi-monthly or monthly] basis, subject to a minimum payout threshold of [e.g., $50 USD].
- Taxes: You are responsible for all applicable taxes and fees on your revenue.
4. Cancellations and Refunds
- Supplier’s Policy: You are required to define a clear cancellation and refund policy for each of your activities. This policy will be displayed on your activity listing and at the time of booking.
- ExperiaHub’s Role: We will facilitate the processing of cancellations and refunds on your behalf, strictly in accordance with your stated policy. We are not responsible for issuing refunds beyond what your policy stipulates.
5. Content and Intellectual Property
You grant ExperiaHub a non-exclusive, worldwide, royalty-free license to use, reproduce, and display all content you provide (including text, images, videos, and logos) for the purpose of promoting your activities on the Platform and in our marketing materials.
6. Disclaimers and Liability
You acknowledge that ExperiaHub is not liable for any acts, errors, or omissions on your part or on the part of your employees or contractors. You agree to indemnify, defend, and hold ExperiaHub harmless from any and all claims, liabilities, damages, and expenses arising from your activities.
7. Termination
This Agreement may be terminated by either party with 30 days’ written notice. ExperiaHub reserves the right to terminate this Agreement immediately if you breach these terms or if your services fail to meet our quality standards.
